Article 914 Registration of
Incorporation Godo Kaisha (“LLC” limited liability corporations)
In the registration of the
incorporation of a godo kaisha, the matters listed hereunder must be registered
at the locality of its head office:
(1)
The objective
(2)
The trade name
(3)
The location of the head office and branches
(4) Where there are provided in the articles of incorporation of
the godo kaisha, the time period of existence of the godo kaisha and the
reasons for dissolution, then such provisions
(5)
The amount of paid-up capital
(6)
The full name and title of the corporate member executing the business of the
godo kaisha
(7)
The full name, title and address of the corporate member representing the godo
kaisha
(8) When the corporate member
representing the godo kaisha is a juridical person, then the name and address
of the party who will perform the occupational duties of the said corporate
member.
(9) When there are provisions in
the articles of incorporation concerning the method of public announcement
based on the provisions of Article
939. (Method
of Public Announcement of Corporations), Paragraph 1, then those
provisions
(10) When the provisions of the
articles of incorporation of the previous Item are to the effect that the
method of public announcements is electronic announcements, then the matters
listed hereunder:
(a) That provided by Ministry of
Justice Ordinance that are necessary matters in order to be provided with the
data that is the details of the public announcement provided by electronic public announcement to many and unspecified parties.
(b) When there are provisions of
the articles of incorporation based on the provisions of the latter part of
Paragraph 3 of Article
939. (Method
of Public Announcement of Corporations), then those provisions
(11) When there are not the provisions
of the articles of incorporation of Item 9, to the effect that the method of
public announcement is listings in the Official Gazette (KANPO) based on the
provisions of Article 939, Paragraph 4
