Article 85. Convocation & Resolutions of General Meeting of Establishment of Classes

(Compare Article 180 of the former Commercial Code)

1. In the situation where there is to be resolutions of the general meeting of establishment of classes, based on the provisions of the previous Article (Article 84. (Determinations to the Effect that the Resolutions of Shareholders Meeting of Classes Are Necessary)), Article 90. (The Appointment of Directors), Paragraph 1, (including those situations which apply mutatis mutandis in Paragraph 2, of the same Article), Article 100. (Amendment of Articles of Incorporation for Corporations with Classes of Shares), Paragraph 1 or Article 101. (Amendment of Articles of Incorporation for Corporations with Classes of Shares), Paragraph 2, the incorporators must convene a general meeting of establishment of classes.

2. Resolutions of the general meeting of establishment of classes shall be accomplished with a majority vote of the establishment holders of shares of class which can vote at the said general meeting of establishment of classes and a two-thirds of the votes of the said establishment holders of shares of class attending.

3. Notwithstanding the provisions of the previous paragraph, resolutions of Article 100, paragraph 1 must be accomplished by a majority of the establishment holders of shares of class which can vote at the said general meeting of establishment of classes provided for in the same paragraph, and a majority vote corresponding to two-thirds of the votes of the said establishment holders of shares of class.
