Article 84. Determinations to the
Effect that the Resolutions of Shareholders Meeting of Classes Are Necessary
In the situation where the
kabushiki kaisha to be established is a corporation which issues classes of
shares, concerning matters which are to be resolutions at the shareholders
meeting, the subject of which is the classes of shares to be issued at the time
of incorporation, in addition to that resolution, when there has been a
determination to the effect that it is necessary to have a resolution of
the meeting of holders of classes
of shares, made up of holders of shares of the class of shares of the said
class, in accord with the examples of the articles of incorporation, the said
matters shall be lacking in legal validity if, in addition to the resolution of
the general meeting of establishment,
there is no resolution of
the general meeting of holders of classes of shares (meaning a meeting of
establishment holders of shares of a class of shares to be issued at the time
of incorporation. Hereinafter, the same.), the members of which are the
establishment holders of shares of classes to be issued at the time of incorporation (meaning establishment shareholders of
a certain class of shares issued at the time of incorporation. Hereinafter, in
this sub-section, the same). Provided, however, when there are no establishment
holders of shares of classes that can vote at the said establishment meeting of
holders of shares of classes, that shall not apply.
