Article 26. Preparation of
Articles of Incorporation
(Compare
Articles 165 & 166 of the
former Commercial Code)
1. In order to establish a kabushiki kaisha the incorporators
must prepare the articles of incorporation and all must sign or impress their seals
thereon.
2. The
articles of incorporation of the previous paragraph can be prepared using
electromagnetic medium (meaning that as provided for by Ministry of Justice
Ordinance, being recordings based on electronic methods, magnetic methods or
other methods that can not be sensed by humans, but are used in data processing
by computers. Hereinafter the same). In those situations, with respect to the
information recorded in the electromagnetic medium measures must be taken as
provided for by Ministry of Justice Ordinance, in substitution for signatures
or impressing seals.
