Article 13. Appearance as Manager
(Compare Article 42 of the former
Commercial Code)
An
employee with a title indicating that he is the one primarily in charge of
business at the head office or branch shall be regarded as having all
authority at the head office or
branch in relation to the business of the said head office or branch office
excepting acts in court. Provided, however, that this shall not apply when the
other party is acting in bad faith.
